1. ACCEPTANCE OF TERMS

By accessing or using VoxResponse services, including our website (voxresponse.com), AI agents, software, and related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

These Terms constitute a legally binding agreement between you ("Client," "you," or "your") and VoxResponse LLC ("VoxResponse," "we," "us," or "our").

2. DESCRIPTION OF SERVICES

VoxResponse provides AI-powered communication and business management solutions for small and medium-sized businesses, including but not limited to:

AI phone and chat answering services

Appointment booking and scheduling

Customer relationship management (CRM)

Automated follow-up and engagement

Reputation management

Website design and hosting

Content creation and SEO services

Business consulting and advisory services

Services are provided on a subscription basis with tiered pricing plans (VOX CORE, VOX CORE UNLIMITED, VOX ELITE).

3. ELIGIBILITY

You must be at least 18 years of age and have the legal authority to enter into contracts on behalf of your business to use our Services. By using our Services, you represent and warrant that you meet these requirements.

4. ACCOUNT REGISTRATION

To access certain Services, you must create an account and provide accurate, complete, and current information. You are responsible for:

Maintaining the confidentiality of your account credentials

All activities that occur under your account

Notifying us immediately of any unauthorized access or security breach

We reserve the right to suspend or terminate accounts that provide false, inaccurate, or incomplete information.

5. SUBSCRIPTION PLANS & PAYMENT TERMS

5.1 Pricing

Current pricing is available at voxresponse.com/pricing and is subject to change with 30 days' notice. Pricing includes:

VOX CORE: $697/month (Founding member rate: $497/month for first 12 months)

VOX CORE UNLIMITED: $897/month (Founding member rate: $697/month for first 12 months)

VOX ELITE: $1,497/month (Founding member rate: $997/month for first 12 months)

Founding member rates are locked in permanently for clients who remain active subscribers.

5.2 Setup Fees

One-time setup fees apply to each plan and are waived for 12-month prepaid subscriptions.

5.3 Billing

Monthly subscriptions are billed in advance on the date you subscribe and each subsequent month thereafter.

12-month prepaid subscriptions are billed upfront and non-refundable after 90 days.

Payments are processed automatically via the payment method on file.

Failed payments may result in service suspension or termination.

5.4 Overage Charges

VOX CORE plans include usage limits. Overages are billed at:

Voice minutes: $0.25/minute

Chat messages: $0.15/message

Overage charges are billed monthly in arrears.

5.5 Taxes

Prices do not include applicable sales tax, VAT, or other government-imposed fees. You are responsible for all such taxes.

6. TERRITORY EXCLUSIVITY

VoxResponse offers territory exclusivity, meaning we will work with only ONE business per industry per county. Once a Client contracts for exclusivity in a given territory:

We will not provide Services to competing businesses in the same industry within the same county

Exclusivity is contractually binding and remains in effect as long as the Client maintains an active subscription

Exclusivity does not apply retroactively to existing clients

We reserve the right to define "industry" and "competing business" at our discretion

Clients forfeit territory exclusivity upon cancellation or non-payment.

7. SERVICE LEVEL & PERFORMANCE

7.1 Uptime

We strive for 99.9% uptime for AI phone and chat services, excluding scheduled maintenance. We do not guarantee uninterrupted service and are not liable for downtime caused by factors outside our reasonable control.

7.2 AI Performance

Our AI agents are trained to handle common customer interactions. However:

AI responses are automated and may not always be accurate or appropriate

We are not responsible for AI errors, misunderstandings, or miscommunications

You are responsible for reviewing and approving AI scripts and responses during onboarding

7.3 Third-Party Integrations

We integrate with third-party platforms (Google Calendar, telephony providers, etc.). We are not responsible for failures or issues caused by third-party services.

8. CLIENT RESPONSIBILITIES

You agree to:

Provide accurate business information during onboarding

Review and approve AI scripts, workflows, and integrations

Respond to setup requests and onboarding calls in a timely manner

Comply with all applicable laws, including TCPA, CAN-SPAM, and data protection regulations

Not use our Services for illegal, harmful, or fraudulent purposes

Not use our Services to send spam, unsolicited messages, or violate third-party rights

9. 90-DAY MONEY-BACK GUARANTEE

We offer a 90-day satisfaction guarantee for new clients:

If within 90 days our Services do not capture at least 3X the monthly subscription cost in measurable new revenue, you may request a full refund or continued service at no charge until the 3X threshold is met

Refund requests must be submitted in writing with supporting documentation

Refunds are issued to the original payment method within 30 days of approval

This guarantee applies to monthly subscriptions only; 12-month prepaid subscriptions are refundable only within the first 90 days

10. CANCELLATION & REFUND POLICY

10.1 Monthly Subscriptions

You may cancel at any time within 90 days' of service

Cancellations take effect at the end of the current billing period

Refunds will be provided for all months of service paid for and setup fees within 90 days

Upon cancellation, you forfeit territory exclusivity

10.2 12-Month Prepaid Subscriptions

12-month prepaid subscriptions are non-refundable after 90 days

Within the first 90 days, refunds are subject to our 90-day guarantee (see Section 9)

Early cancellation of 12-month prepaid plans results in forfeiture of remaining months

10.3 Termination for Cause

We may suspend or terminate your account immediately if:

You violate these Terms

You engage in fraudulent or illegal activity

You fail to pay amounts due

Your use of Services poses a security risk or legal liability

11. INTELLECTUAL PROPERTY

11.1 Our IP

All content, software, designs, logos, and materials provided by VoxResponse are our intellectual property or that of our licensors. You may not:

Copy, modify, distribute, or reverse-engineer our software or content

Use our trademarks, logos, or branding without written permission

Remove or alter proprietary notices

11.2 Your IP

You retain ownership of your business name, branding, customer data, and content you provide to us. By using our Services, you grant us a limited license to use your content solely to provide Services to you.

11.3 AI-Generated Content

Content created by our AI (scripts, emails, posts, etc.) becomes your property upon creation. However, we retain the right to use anonymized, aggregated data to improve our Services.

12. CONFIDENTIALITY & DATA SECURITY

We take data security seriously and implement industry-standard measures to protect your information. However:

We cannot guarantee absolute security

You are responsible for securing your account credentials

You agree not to share confidential information about our technology, pricing, or business methods

13. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

VoxResponse is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Services

Our total liability for any claim is limited to the amount you paid us in the 12 months preceding the claim

We are not liable for lost profits, lost revenue, lost data, or business interruption

This limitation applies even if we have been advised of the possibility of such damages.

14. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless VoxResponse, its affiliates, officers, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising from:

Your use of our Services

Your violation of these Terms

Your violation of any law or third-party rights

Content you provide to us

15. DISPUTE RESOLUTION

15.1 Governing Law

These Terms are governed by the laws of the State of North Carolina, without regard to conflict of law principles.

15.2 Arbitration

Any dispute arising from these Terms or our Services shall be resolved through binding arbitration in Alexander County, North Carolina, in accordance with the rules of the American Arbitration Association. You waive your right to a jury trial or class action.

15.3 Exceptions

Either party may seek injunctive relief in court for intellectual property disputes or breaches of confidentiality.

16. MODIFICATIONS TO TERMS

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our Services after changes constitutes acceptance of the modified Terms.

Material changes will be communicated via email with 30 days' notice.

17. MISCELLANEOUS

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and VoxResponse.

17.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full effect.

17.3 Waiver

Our failure to enforce any provision does not constitute a waiver of that provision.

17.4 Assignment

You may not assign these Terms without our written consent. We may assign these Terms to any successor or affiliate.

17.5 Force Majeure

We are not liable for delays or failures in performance caused by circumstances beyond our reasonable control (natural disasters, pandemics, internet outages, etc.).
